Structurer Private Equity, ВТБ

We are looking for an experienced structurer to become an integral part of the Private Equity and Special Situations Structuring team while working with both internal and external counterparties. A successful candidate is someone who has good experience in designing and execution of M&A transaction. You will be called upon to analyse investment and divestment opportunities, design and present transaction structures including commercial and legal aspects, corporate governance and implement these solutions working with PESS team and external counterparty as well as with internal functions such as PESS, Legal, Finance, Treasury and other functions of the Bank. You will be asked to get involved into the auxiliary work streams including arranging of financing, hedging of the transaction risks, cross-selling of other products of the Bank. You will have a unique chance to be working across most all asset classes.

Requirements

Requirements:
• Minimum 4-6 years hands-on experience in a structuring or M&A function of a major financial institution (preferably a bank) or private equity fund
• Expert knowledge of structuring of M&A transactions: acquisitions and disposals of non-public equity, derivatives on non-public equity (put and call options, forwards, etc.), loan financing of M&A transactions, design of the corporate governance structures
• In depth understanding of IFRS accounting and of Russian tax issues applicable to M&A
• Experience analysing corporate capital structure and financial statements
• Hands on knowledge of financial tax and legal due diligence process
• Advanced English language skills – ability to converse freely and work with English language documentation
• University or a Master’s level Quantitative or Finance/Economics degree
• Understanding of the valuation of the private equity companies is a plus
• Experience in developing and growing the business – this is not a task- or execution-oriented role. This role will focus on growing the PESS business within the Bank and on the market
